Software License Agreement

This Software License Agreement ("Agreement") is a legal agreement between you ("you") and Net-Prom, Boris Krajnc s.p., Videm pri Ptuju 27, 2284 Videm pri Ptuju, Slovenia, registration number 1292234000, VAT ID SI28725557 ("Net-Prom", "we", "us"), the owner of SubSync AI. It applies to the SubSync AI desktop application, the SubSync AI browser extension, the local backend, the installer, all updates and the related documentation (together the "Software"). By installing the Software, activating a license key or using the Software, you accept this Agreement. If you do not agree, do not install or use the Software.

1. Ownership

The Software - including its program files and scripts, the browser extension, the design, the name SubSync AI, the logo and all related content - is proprietary to Net-Prom and is protected by copyright and other intellectual property laws and international treaties. The Software is licensed, not sold. No ownership or other rights are transferred to you, except the limited license in section 2.

2. License grant

For as long as you hold a valid, paid license (subscription), and subject to this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable right to install and use the Software on one device at a time, for your own use.

Using the Software requires a valid license key, which you obtain by purchase through our authorized reseller Lemon Squeezy. Without a valid license key you may not use the Software. You can move your license to another device by deactivating the old device in the License window of the app.

3. What you may not do

Without our prior written permission you may not:

copy, distribute, publish, upload, mirror, resell, rent, lease, lend, sublicense or otherwise make the Software or any part of it available to third parties - including the installer, the scripts and the browser extension - whether for payment or free of charge;
share, publish or sell your license key, or use a license key that was not issued to you;
modify, adapt, translate or create derivative works based on the Software, or include it in another product;
remove, disable, bypass or tamper with the license, activation or verification checks or with any copyright or ownership notice, or otherwise use the Software without a valid license;
reverse engineer, decompile, disassemble or try to derive the source code of the Software, except to the extent that applicable law (for example Directive 2009/24/EC) expressly allows this despite this restriction;
use the Software to provide a service to third parties (for example hosting it for others), or use it on more devices at the same time than your license allows;
use the Software unlawfully or in breach of the terms of any streaming platform or AI provider.

Parts of the Software (for example scripts and the browser extension) are delivered in a form that can be read. This is only a technical necessity. It does not give you any right to copy, modify or redistribute them.

4. Third-party components

The Software uses open-source and other third-party components (for example the Python runtime and libraries, and language models of the Argos Translate project for the optional local translator). They are licensed to you under their own terms, which remain unchanged. Nothing in this Agreement restricts the rights that those licenses give you for those components themselves. This Agreement applies only to the SubSync AI code and materials owned by us. A list of the third-party components and their licenses is included in the file THIRD_PARTY_NOTICES.txt in the installation folder and at subsyncai.app/third-party-notices.txt.

5. License verification

To verify your license, the Software contacts the license service of Lemon Squeezy and sends your license key and a device name (see our Privacy Policy). If the service cannot be reached, the Software may keep working offline for a limited grace period.

6. Term and termination

The license starts when you activate a valid license key and lasts as long as your subscription is active (see the Terms of Service). It ends automatically when the paid period ends after you cancel or the subscription expires, and also if you materially breach this Agreement, in particular section 3.

We may deactivate license keys that are shared, resold or used in breach of this Agreement. When the license ends you must stop using the Software and delete all copies of it. Sections 1, 3, 4, 8, 9 and 10 continue to apply after the license has ended.

7. Updates

We may provide updates to the Software. Updates are part of the Software and are covered by this Agreement. We may change, add or remove features.

8. Disclaimer and liability

The Software is provided "as is". Translations are generated by software and third-party models and may contain errors. The disclaimer and the limitation of liability in section 7 of the Terms of Service apply to the Software. Nothing in this Agreement excludes liability that cannot be excluded by law or limits the mandatory rights of consumers.

9. Unauthorized use

Copying, distributing or using the Software without a valid license or outside this Agreement infringes our rights. We reserve all legal remedies, including injunctions, damages and the recovery of costs, to the extent permitted by law.

10. Permission, governing law and general terms

To ask for permission to redistribute, bundle, resell or otherwise use the Software in a way that this Agreement does not allow, write to support@subsyncai.app. Permission is valid only if we give it in writing.

This Agreement is governed by the laws of the Republic of Slovenia. If you are a consumer resident elsewhere in the EU, the mandatory consumer-protection provisions of your country of residence also apply. If a provision of this Agreement is invalid, the remaining provisions stay in force.

This Agreement, together with the Terms of Service, the Privacy Policy and the Refund Policy, is the entire agreement between you and us about the Software. If they conflict regarding the use of the Software, this Agreement prevails. We may update this Agreement; the current version is always available at subsyncai.app/license.html. The English version is the authoritative one.
